Vazi — Vendor Agreement

This Vendor Agreement ("Agreement") is between [PLACEHOLDER: registered legal name of the operating company], trading as "Vazi" ("Vazi", "we"), registered office [PLACEHOLDER: registered office address], and you, the person or business approved to sell on the Vazi platform ("Vendor", "you").
You accept this Agreement in the Vazi vendor app when your application is approved. It governs everything you sell through Vazi.
1. What Vazi provides
1.1. Vazi operates a marketplace that lists your items, matches them to buyers, collects payment through licensed payment providers, quality-checks your items at the Vazi hub, packs and delivers them, and pays you out. You remain the seller of your items; Vazi acts as your commercial agent for concluding the sale and as service provider for verification, logistics, and payment handling.
1.2. Anonymity (second-hand). Buyers are never shown your identity, location, or branding. Your items are presented as Vazi catalogue items in Vazi packaging. This is a core feature of the platform, not an option, and it works both ways: you will not receive buyer identities or contact details.
2. Eligibility and KYC
2.1. To sell, you must be at least 18, resident in Kenya, and complete identity verification ("KYC"): your legal name, national ID number and photos of your ID, a selfie photograph, your base location, and an M-Pesa-registered phone number for payouts.
2.2. KYC must be completed and approved before your first payout. You warrant that all KYC information is yours, accurate, and current, and you will tell us promptly if it changes. We store your ID data encrypted and handle it per the Vazi Privacy Policy.
2.3. We may decline or revoke approval where verification fails, where information proves false, or where we reasonably suspect fraud.
3. Listings: accuracy is the deal
3.1. Every listing and every variant must be complete and truthful, including: all measurements required by the category's measurement template (measured per Vazi's training guidance), at least the required photos of the actual item, condition grade on Vazi's published scale, material to the best of your knowledge, garment mass, price, and — for every item — an explicit defects declaration (either "no known defects" or each defect listed, with photos where visible) and an explicit alterations declaration (either "no known alterations" or each alteration listed, with photos where visible).
3.2. You warrant that: (a) you own each item or are entitled to sell it; (b) each item matches its listing; (c) items grouped under one variant with quantity above one are genuinely interchangeable (same garment, colour, condition, and measurements within tolerance); (d) no listing infringes any third party's rights; and (e) you make no authenticity claims for branded second-hand goods — you may state the label an item carries ("labelled Nike") and nothing more. Listing counterfeit goods as genuine, or repeatedly listing counterfeit-flagged goods, is ground for immediate termination.
3.3. Listings go live after automated checks. We may at any time review, suspend, or remove a listing, or route your listings through manual review (for example during probation or quality watch).
3.4. No bypassing. You must not include contact details, social handles, or any identifying marks in photos or descriptions, or otherwise attempt to transact with Vazi buyers off-platform. This is a suspension offence.
4. When an item sells: drop-off and the hub check
4.1. When an item sells, you will be notified with instructions and a deadline. You must deliver the exact sold item to the Vazi hub within the drop-off window shown in the app for that sale. The countdown in the app is authoritative.
4.2. Missed drop-off: the sale is cancelled, the buyer is refunded in full, and a strike is recorded on your scorecard.
4.3. The quality check ("QC"). At the hub, every unit is physically verified against its listing: measurements within the published tolerance, mass within tolerance, condition grade, completeness and accuracy of the defects and alterations declarations, material plausibility, and photo match. Measured values are recorded and serve as the reference evidence in any later buyer claim.
4.4. QC outcomes:
- Pass — the item is packed and dispatched; the sale proceeds.
- Fail — the sale for that unit is cancelled, the buyer is refunded, the failure and its reason are recorded on your scorecard as a strike, and the item is held for you to collect from the hub. Repeated failures on a listing block it from relisting until corrected. Items uncollected after [PLACEHOLDER: hold period, e.g. 30 days] may be disposed of after notice [PLACEHOLDER: counsel to advise on uncollected-goods/bailment handling].
4.5. QC protects buyers and honest vendors; it is not a guarantee service for your listings' accuracy. QC passing does not transfer your responsibility for the listing's truthfulness to Vazi.
5. Fees and commission
5.1. You set your asking price for every item. Vazi charges the fees as published in the app at the time of the sale — these may include a commission deducted from your asking price and/or fees charged to the buyer. Every deduction is itemised on your earnings statement, per order. Vazi never changes your net proceeds for a sale after the fact without your consent.
5.2. Fee levels may change prospectively; changes are published in the app before they apply and never apply retroactively to completed sales.
6. Getting paid
6.1. Secure hold first. Buyer payment for your item is held by Vazi (through its licensed payment provider) and is credited to your payout balance only after the buyer confirms receipt or the buyer's confirmation window expires — and only if no claim is open on the order. For cash-on-delivery orders, credit follows the courier's cash being remitted and reconciled.
6.2. Payouts are made to your verified M-Pesa number by B2C transfer, on the payout schedule and above the minimum payout amount as published in the app. Your statement shows gross, fees, and net per order.
6.3. Changing your payout number requires re-verification of both the old and new numbers where possible and triggers a 48-hour payout freeze as a fraud safeguard.
6.4. If a buyer claim is upheld after secure hold release, or a payout was made in error or procured by fraud, we may deduct the corresponding amount from your balance or future payouts, or require repayment.
7. Buyer claims
7.1. Buyers may claim for misdescription within the claim window shown in their app. Claims are assessed by Vazi support against the QC record. You will see outcomes reflected in your scorecard and statements; upheld claims may result in a refund funded from the sale's secure hold and a strike.
7.2. You authorise Vazi to resolve buyer claims on your behalf per the published Returns & Refunds Policy. Vazi's claim decisions are final as between Vazi and the buyer; disputes between you and Vazi about a claim outcome go through section 12.
8. Scorecard, quality watch, and suspension
8.1. We maintain a quality scorecard per vendor: QC pass rate, claim rate, drop-off SLA adherence, and ratings roll-up. Strikes record specific failures.
8.2. Breaching published quality thresholds triggers a graduated ladder: guidance → required training → quality watch (reduced catalogue visibility until your recent-order quality recovers past the published exit criteria — your scorecard shows the status and what recovery requires) → suspension. Fraud, counterfeits, bypassing (clause 3.4), or abusive conduct can skip the ladder and lead to immediate suspension.
8.3. Suspension pauses your listings and sales. Your accrued, unclaimed-against balance remains payable per section 6.
9. Tax
You are responsible for your own taxes on your sales, including income tax and, where applicable, VAT and eTIMS invoicing obligations. Vazi provides per-order statements you can use for your records, and may be required to report or withhold amounts where Kenyan law obliges it [PLACEHOLDER: counsel to confirm any digital-marketplace withholding/VAT obligations applying to Vazi as platform operator].
10. Data protection
Each party handles personal data per the KDPA. Vazi processes your KYC and transaction data as described in the Vazi Privacy Policy. You will not attempt to collect or use buyer personal data.
11. Term and termination
11.1. This Agreement runs until terminated. You may terminate at any time by withdrawing your listings and notifying us; obligations for in-flight orders survive until completed. We may terminate on [PLACEHOLDER: notice period, e.g. 14 days'] notice for convenience, or immediately for material breach (including clauses 3.2, 3.4), fraud, or legal necessity.
11.2. On termination: in-flight orders complete or are cancelled and refunded; your final balance (less amounts under clause 6.4) is paid out per section 6; items of yours at the hub are returned per clause 4.4; clauses that by nature survive (warranties, liability, records, disputes) survive.
12. Liability and disputes
12.1. Nothing excludes liability that Kenyan law does not allow to be excluded. Subject to that, each party's liability to the other under this Agreement in any 12-month period is limited to the total fees Vazi earned from your sales in that period; neither party is liable for indirect or consequential loss.
12.2. Vazi is not liable for buyer non-payment where secure hold was never funded, courier failures outside its control, or your items while in your possession. Vazi is responsible for your items while at the hub, up to the item's asking price per item [PLACEHOLDER: counsel to review hub bailment/custody liability].
12.3. This Agreement is governed by the laws of Kenya. Disputes go first to good-faith discussion with Vazi support/ops, then to [PLACEHOLDER: dispute resolution route — venue and mechanism to mirror the ToS choice; lawyer to advise].
13. Changes
We may update this Agreement prospectively with at least [PLACEHOLDER: notice period, e.g. 14 days'] notice in the vendor app. Continuing to list or sell after the effective date is acceptance. Material changes to money terms (fees structure, payout mechanics) are always notified in-app before they apply.
